Acceptable Use Policy

Introduction

This Acceptable Use Policy (this “AUP”) are entered into by and between you and Rival Technologies Inc. (“Rival, “we” or “us”) and together with any documents expressly incorporated by reference, govern your access to and use of the websites owned and operated by Rival (the “Websites”) and use of our proprietary services, including but not limited to the Rival platform (collectively the “Services”) which are owned and operated by Rival.

This AUP relates to all subscribers and users of the Websites and/or Services. Please read this AUP carefully before you start to use the Websites and/or Services. By using the Websites and/or Services, you accept and agree to be bound and abide by this AUP and our Standard Terms and Conditions at https://www.rivaltech.com/legal/standardterms, and our Privacy Policy at https://www.rivaltech.com/legal/privacy, all of which form an integral part of this AUP and are incorporated herein by reference.

Prohibited Uses

You are responsible for your conduct, and communications with others while using the Websites and/or the Services. You are responsible for any breaches of this AUP by alone using the Websites and/or Services with your permission or on an unauthorized basis as a result of you failing to use reasonable security precautions.

It is impossible to provide an exhaustive list of exactly what constituted acceptable and prohibited uses of the Websites and/or Services. In general, we will not tolerate any use of our Websites and/or Services which damages or is likely to damage our reputation, the availability or integrity of the Websites and/or Services, or which causes us or threatens to cause us to incur any legal, tax or regulatory liability.

We therefore ask you to treat our Websites and/or Services with respect, and not to use our Websites and/or our Services for any illegal purposes, or in such a way as to infringe or breach other’s rights or to cause or threaten to cause us damage. We also ask you to comply with any relevant notices, policies and terms imposed by third parties whose website, products or services you access through our Websites and/or Services.

Without limitation:

  1. You may not use the Websites and/or Services to commit or engage in or promote illegal, abusive or irresponsible behaviour including, including without limitation:
    1. Use which in any way breaches any applicable local, national or international law, code or regulation, including date protection and privacy laws and laws relating to unsolicited commercial electronic messages;
    2. Use which is any way unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
    3. Use of an internet account or computer without the owner’s authorization;
    4. Use which in any way introduces intentionally, knowingly or recklessly any virus or other contaminating code;
    5. Use in any way to collect or use information, including email address or other identifiers, by deceit (for example phishing, internet scamming and password robbery);
    6. Use which in any way intentionally, knowingly or recklessly leads to the publication of a person’s sensitive identifying information against their wishes; and
    7. Use which in any way could lead to physical damage, death, mental health, or personal injury.
  2. You may not use the Websites and/or the Services to provide any person under the age of majority in their respective jurisdiction with access to the Services.
  3. You may not use the Websites and/or the Services for the purposes of building competitive products or services or for any other competitive purposes.
  4. Unless authorized by us, you may not probe, scan, or test the vulnerability or security of the Websites and/or Services.
  5. You may not use the Websites and/or Services which we, at our sole discretion, believe is unlawful, harmful, threatening, obscene, harassing or which is otherwise malicious, fraudulent or morally unacceptable, including without limitation:
    1. Use which in any way facilitates illegal activity; use which in any way depicts sexually explicit images;
    2. Use which in any way exploits minors;
    3. Use which in any way is excessively violent, incites or threatens violence, or contains harassing content or hate speech;
    4. Use which in any way is discriminatory, including discrimination based on race, ethnicity, gender, colour, age, religious belief, sexual orientation or disability;
    5. Use which is in any way unfair or deceptive under the consumer protection laws of any applicable jurisdiction; and
    6. Use which in any way is defamatory or violates a person\s privacy.
  6. You may not use the Websites and/or Services which in any way infringes any copyright, patent, trademarks, design or other intellectual property right of others.

We reserve the right to suspend the use of our Websites and/or Services generally or block your access to our Websites and/or Services, or any portion thereof, if we suspect misuse. We shall then report any misuse of our site to the relevant enforcement or other authorities we deem appropriate. We further reserve the right to disclose any evidence we have which relates directly or indirectly to misuse.

Community Areas

Certain areas of our Websites and/or Services are reserved for registered users. Additional terms may apply to these areas, such as specific acceptable use policies or specific terms for buying and subscribing to Services. You may not assign or sub-licence any rights we grant you as a registered user.

The Websites and/or Services may contain or provide links to message boards, personal web pages or profiles, discussion forums, bulletin boards and other interactive features and communication functionality that may allow users to post content or material (“User Contributions”). All User Contributions must comply with Content Standards (as defined below. Any User Contribution you post to the Websites and/or Services must be non-confidential and non-proprietary. By providing any User Contribution on the Websites and/or Services, you grant Rival and our service providers and respective licensees, successors and assigns a royalty free, unrestricted, worldwide, perpetual, non-exclusive and fully transferrable, assignable and sub-licensable right to use, reproduce, modify, display, distribute or otherwise disclose to third parties any such material. You, and not Rival, are responsible for any User Contribution you post on the Websites and/or Services.

These content standards (“Content Standards”) apply to any and all User Contributions. User Contributions must comply with all applicable laws and regulations and must not: (a) contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable (in Rival’ sole discretion); (b) promote sexually explicit or pornographic material, violence, or discrimination; (c) infringe on any patent, trademark, trade secret, copyright or other intellectual property or other rights of any person; (d) promote any illegal activity; (e) misrepresent your identity or affiliation; (f) involve commercial activities, such as contest, sweepstakes and other sales promotions or advertising; or (g) give the impression that they are posted or endorsed by Rival or any other person or entity, if this is not the case.

We reserve the right to (a) remove or refuse to post any User Contribution for any reason; (b) take any action with respect to any User Contribution that we deem necessary or appropriate, including if we believe that such User Contribution violates the Terms of Use, infringes any intellectual property right or other right of any person or entity or could create liability for Rival; (c) disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy; (d) take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Websites and/or Services; and (e) terminate or suspend your access to all or part of the Websites and/or Services for any reason.

Changes to the AUP

We may revise and update this AUP from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Websites and/or Services thereafter. Your continued use of the Websites and/or Services following the positing of revised AUP means that you accept and agree to the changes.
